Use the legal entity’s exact details

Compare the name, licence or registration number, issuing authority, and address across the quotation, contract, and payment instructions. Ask which entity will supply the work and which will issue invoices. A group company is not automatically responsible for another member’s debts. Dubai’s official business-information services, including Dubai Unified Licence information where available, can help establish identity, but records should still be read in context.

Check activities and authority, not just a logo

Identify the licence and any permits relevant to the proposed activity. Mainland and free-zone arrangements can differ, and additional approvals may be relevant to where or how work is performed. Ask what authorises the proposed signatory to bind the company. A business card, job title, or company stamp should not be treated as a complete answer to an authority question.

Define what performance looks like

Specify the goods or services, delivery stages, acceptance process, and information each party must supply. Make the payment schedule correspond to understandable obligations. Discuss changes, delays, and who can approve extra work. If key details sit in an attached scope or purchase order, make sure the documents fit together and establish how inconsistencies will be addressed.

Read the dispute provisions before there is a dispute

Separate the governing-law clause from the choice of court or arbitration process. A reference to Dubai does not, by itself, answer every jurisdiction question. Consider where the parties and assets are located and how a result might be enforced. Obtain advice on the wording and signatory authority, especially if the contract includes arbitration or an intended DIFC Courts jurisdiction agreement.

Preserve the version everyone accepted

Keep the executed agreement, incorporated terms, schedules, approvals, and later amendments in a single indexed file. Retain evidence of delivery, acceptance, and payment as the work proceeds. Verify changed banking instructions using an established contact method. A current business registration can help identify the counterparty, but it does not guarantee solvency, good performance, or the safety of every payment request.

Bring the details together

Before your next step.

  • Matching legal entity, licence, and payment details.
  • Evidence of the signatory’s authority and relevant approvals.
  • A clear scope, acceptance process, and payment schedule.
  • Consistent dispute clauses and a complete executed version.
